1. Introduction
These General Terms of Service (“Terms”) govern the relationship between Adrevel, a Limited Liability Partnership Company incorporated under the laws of India, having its registered office at 76, Berhampore, Murshidabad, West Bengal-742101, India (“Company,” “we,” “us,” or “our”) and any individual or entity (“Client,” “you,” or “your”) engaging with the Company for the provision of services.
2. Service Agreement
The Client agrees to be bound by the terms and conditions set forth in the Service Agreement entered into between the Client and the Company. The Service Agreement outlines the specific details of the services to be provided, payment terms, confidentiality obligations, and other pertinent terms governing the engagement between the Client and the Company.
3. Scope of Services
The Company shall provide services to the Client as detailed in the Service Agreement. The scope of services may include but is not limited to video animated ads, video editing, and other related services as agreed upon between the Parties.
4. Communication
All communication between the Client and the Company shall be conducted through official channels as specified in the Service Agreement. The Parties shall ensure that all crucial information is documented in writing for clarity and record-keeping purposes.
5. Intellectual Property
Any content created or developed by the Company in the course of providing services to the Client shall remain the intellectual property of the Company unless otherwise specified in the Service Agreement. The Client shall not use, reproduce, or distribute such content without the prior written consent of the Company.
6. Confidentiality
The Parties shall maintain strict confidentiality with respect to any confidential information exchanged during the engagement. Confidential information shall not be disclosed to third parties without the express written consent of the disclosing Party, except as required by law.
7. Payment Terms
Payment terms shall be as specified in the Service Agreement. The Client agrees to make timely payments as per the agreed-upon schedule. Failure to make timely payments may result in termination of services or imposition of additional charges as per the terms outlined in the Service Agreement.
8. Taxes
The Client shall be responsible for payment of all applicable taxes, levies, and duties as required by law. The Company shall issue GST-compliant invoices for services rendered to Clients based in India.
9. Dispute Resolution
Any dispute or disagreement arising out of or in connection with the provision of services shall be resolved amicably between the Parties. In the event that a resolution cannot be reached, the Parties agree to submit the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
10. Governing Law and Jurisdiction
These Terms and the Service Agreement shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in West Bengal.
11. Modification of Terms
These Terms may be modified or amended only in writing and signed by authorized representatives of both Parties.
12. Entire Agreement
These Terms, together with the Service Agreement, constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.
14. Waiver
The failure of either Party to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision herein.
15. Assignment
The Client shall not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company.
16. Survival
Sections pertaining to confidentiality, intellectual property, payment obligations, and dispute resolution shall survive the termination or expiration of these Terms.
17. Notices
Any notice or communication required or permitted to be given under these Terms shall be in writing and shall be deemed to have been duly given if delivered personally or sent by registered post or email to the addresses specified in the Service Agreement.
By accepting these Terms, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions herein. These Terms constitute a legally binding agreement between you and the Company.
